These terms are the agreement between you and Repair Shop Software (“we”, “us”, “our”) for the use of the Repair Shop application and this website. By subscribing to or using Repair Shop, you agree to these terms. If you don’t agree, please don’t use the software. Questions: [email protected].
In plain terms: pay a simple subscription for the plan that fits your shop, install the app on the number of computers your plan allows, and it’s yours to use. Cancel any time — you keep access until the end of the period you’ve paid for, and your data always stays on your own computer. See the refund & cancellation policy below.
1. The software and your licence
Repair Shop is desktop software for managing a repair business. When you subscribe, we grant you a non-exclusive, non-transferable licence to install and use the app on up to the number of computers included in your plan (Solo: 1, Team: up to 5, Business: up to 25), for your own business, for as long as your subscription is active. We licence the software to you; we do not sell it, and we retain all intellectual-property rights in it.
2. Subscriptions, billing and taxes
- Plans are billed in advance on a recurring basis — monthly or annually, in US dollars — and renew automatically until you cancel.
- Payments are processed by Stripe. You authorise us, through Stripe, to charge your payment method for each renewal at the then-current price for your plan and interval.
- Prices are exclusive of any taxes, levies or duties that may apply in your jurisdiction, which are your responsibility unless we are required to collect them.
- If a payment fails, we may retry it and may suspend or deactivate the licence until payment succeeds.
- We may change our prices; any change applies from your next renewal, and we’ll give you reasonable notice.
3. Refunds and cancellation
Cancelling. You can cancel at any time by emailing [email protected] (or from the billing portal where available). Cancellation stops future renewals. You keep full access until the end of the billing period you have already paid for; after that the app stops renewing its licence and, once the current licence lease runs out, winds down to a read-only mode (you can still view and export your data). There is no lock-in — your data stays on your computer and remains yours.
Refunds. Because each subscription gives you a working licence immediately, payments are non-refundable, and we don’t provide partial or pro-rated refunds for the unused part of a monthly or annual period once it has started — except where a refund is required by law.
Billing errors. If you’re charged in error or twice, contact us and we’ll put it right.
Nothing in this section limits any rights you have under mandatory consumer-protection laws that cannot be excluded.
4. Licence keys and activation
When you subscribe you receive a licence key. Activating it binds the licence to a computer and counts against the seats in your plan. The app is built to work offline for day-to-day use, but it needs to reconnect to our licence server at least once every six weeks or so to renew its licence lease; if it can’t reach us within that window, it switches to a read-only mode (you can still view and export your data) until it reconnects. You can move a licence to a new computer yourself from the app’s settings, which frees the seat. Please keep your licence key confidential and don’t share it, publish it, or use it beyond the seats your plan allows.
5. Acceptable use
You agree not to: resell, rent, sublicense or redistribute the software or licence keys; circumvent, disable or tamper with the licensing or activation system; reverse engineer, decompile or disassemble the software except to the extent that law expressly permits; or use the software unlawfully or to infringe others’ rights.
6. Updates
We may release updates that improve, change or remove features, including through the app’s automatic updater. We aim to keep the software working well, but we may discontinue features from time to time.
7. Your data and your responsibility
Repair Shop is offline-first: your business records are stored in an encrypted database on your own computer, not on our servers. This means you are responsible for backing up your own data and for keeping your computer and logins secure. Because we don’t hold your business data, we cannot recover it for you if your device is lost, damaged or wiped. How we handle the limited information we do collect is described in our Privacy Policy.
8. Warranties and disclaimer
We provide the software with reasonable care and skill. To the fullest extent permitted by law, and except for any guarantees that apply under mandatory consumer law, the software is provided “as is” without warranties of any kind, and we don’t warrant that it will be uninterrupted or error-free. If you are acquiring the software for the purposes of a business, the New Zealand Consumer Guarantees Act 1993 does not apply.
9. Limitation of liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental or consequential loss, or for loss of data, profits, revenue or business, arising from your use of or inability to use the software. Where we are liable, our total liability is limited to the amount you paid us for the software in the 12 months before the event giving rise to the claim. Nothing in these terms excludes liability that cannot be excluded by law.
10. Suspension and termination
We may suspend or terminate your licence if you breach these terms or if payment is not made. You may stop using the software and cancel at any time as described in section 3. On termination, your right to use the software ends, but your locally stored data remains on your computer.
11. Governing law
These terms are governed by the laws of New Zealand, and the courts of New Zealand have non-exclusive jurisdiction over any dispute, without affecting any mandatory rights you have under the laws of your own country.
12. Changes to these terms
We may update these terms from time to time. The “last updated” date shows when they last changed, and continued use after a change means you accept the updated terms.
